Grümwise Pty Ltd (“Grümwise”, “we”, “our”, “us”) operates this website located at grumwise.com (the “Site”). By accessing or using the Site, creating an account, or purchasing products from the Site, you agree to be bound by these Terms of Use and Sale (the “Terms”). If you do not agree, you must not use the Site.

We may update these Terms from time to time (see Section 20 – Changes to These Terms). Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

1. Acceptance of Terms

These Terms constitute the entire agreement between you and Grümwise regarding the Site, its content, and any products or services offered through it, and supersede all prior or contemporaneous agreements or representations. Any terms you include in purchase orders or other documents are excluded unless expressly agreed in writing by an authorised Grümwise representative.

2. Orders; Modification and Rejection

We may accept, reject, or limit any order in our discretion, including after order confirmation. If your payment method has been charged and all or part of an order is cancelled, we will refund the cancelled amount to the original payment method.

3. Shipping; Title and Risk

Title and risk of loss pass to you when we deliver the products to the carrier. Delivery times are estimates only and are not guaranteed. To the extent permitted by law, we are not liable for losses arising from delivery delays.

4. Prices; Payments; Taxes

You represent that any payment information you provide is true, correct, and complete, and that you are authorised to use the payment method. You agree to pay all charges at the prices displayed at checkout, plus applicable shipping fees and taxes. We may correct pricing errors at any time and cancel orders arising from such errors.

5. No Resale

Products purchased from the Site are for personal use only. Without our prior written consent, you must not resell, export, or otherwise exploit products for commercial purposes.

6. Loyalty, Subscriptions, and Promotions

Any loyalty benefits, subscription programs, promotions, or offers may be subject to additional terms. We may modify or discontinue such programs in our discretion, subject to applicable law and any specific program terms.

7. Returns, Refunds, and Warranty

Our Return, Refund & Warranty Policy forms part of these Terms. In summary (see the full policy for details):

• Return window: 30 days from receipt.

• Return shipping: paid by customer.

• Refunds: original payment method or store credit.

• Exchanges: return for refund; place a new order.

• Warranty: 1-Year Limited Warranty for manufacturing defects only on devices purchased from grumwise.com.
  

8. Acceptable Use of the Site

You must not use the Site to post or transmit unlawful, defamatory, obscene, infringing, harassing, or otherwise objectionable content; or to violate third-party rights. You may access and use Site materials for your personal, non-commercial use only. Except as expressly permitted by law, you must not copy, distribute, modify, create derivative works from, publicly display, or otherwise exploit any Site content without our prior written consent.

9. Accounts; Accuracy; Termination

When creating an account, you must provide accurate and complete information and keep it updated. You are responsible for maintaining the confidentiality of your login details and for all activity under your account. We may suspend or terminate accounts at any time (with or without notice) if we believe these Terms have been breached or for security or operational reasons.

10. Privacy

Our Privacy Policy explains how we collect, use, and disclose personal information. By using the Site, you consent to our handling of your personal information in accordance with that policy.

11. Intellectual Property

All content on the Site, including text, graphics, logos, images, videos, software, and their selection and arrangement, is owned by or licensed to Grümwise and is protected by intellectual property laws. No rights are granted to you except as expressly stated in these Terms.

12. User Submissions, Reviews, and Feedback

If you submit reviews, images, suggestions, or other materials (“Submissions”), you:
(a) warrant you own or control all necessary rights; (b) grant Grümwise a worldwide, royalty-free, perpetual, irrevocable, transferable licence to use, reproduce, modify, publish, translate, create derivative works from, distribute, and display such Submissions in any media; and (c) waive (to the extent permitted by law) any moral rights. We may remove Submissions at any time.

13. Third-Party Links and Services

The Site may contain links to third-party websites or services. We do not endorse and are not responsible for third-party content, accuracy, or practices. Your use of third-party sites is at your own risk and may be subject to third-party terms and policies.

14. Product Information; Safety; Care

We aim to display accurate product information; however, there may be typographical, photographic, or specification errors. Colours and finishes may vary by display. Always read labels, instructions, and safety information before use. Misuse or failure to follow care or waterproof guidelines may void the warranty (see the Waterproof Disclaimer and product manuals).

15. Limitations of Liability

Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies conferred by any applicable law that cannot be excluded, restricted, or modified by agreement.
Subject to the law and to the maximum extent permitted by law:

• the Site and its content are provided “as is” and “as available”;

• we exclude all warranties, representations, and conditions not expressly set out in these Terms; and

• we are not liable for any indirect, incidental, special, or consequential loss, loss of profit, revenue, goodwill, or data arising out of or in connection with the Site, your use of it, or any products purchased, even if advised of the possibility of such loss.
  Where our liability cannot be excluded but may be limited, our liability is limited, at our option, to: (i) in the case of goods—repair or replacement of the goods (or paying the cost of doing so); and (ii) in the case of services—supplying the services again (or paying the cost of doing so).

16. Indemnity

You agree to indemnify and hold Grümwise and its officers, employees, and agents harmless from and against losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Site, or your infringement of any third-party rights.

17. Governing Law; Complaints and Disputes

We aim to resolve concerns quickly. Please contact admin@grumwise.com in the first instance. This informal process does not limit your rights to seek assistance from consumer protection bodies or to commence proceedings in a court or tribunal of competent jurisdiction.

18. Copyright Concerns

If you believe material on the Site infringes your copyright, please email admin@grumwise.com with: (a) your contact details; (b) identification of the work claimed to be infringed; (c) the URL/location of the allegedly infringing material; (d) a statement that you have a good-faith belief the use is not authorised; and (e) a statement that the information is accurate and you are authorised to act for the copyright owner. We may remove or disable access to the material while we assess the notice.

19. Site Availability; Modifications; Force Majeure

We may change, suspend, or discontinue the Site or any part of it at any time without notice. We are not liable for any unavailability or modification of the Site. We are not responsible for any failure or delay caused by events beyond our reasonable control.

20. Changes to These Terms

We may update these Terms from time to time. Minor changes may take effect immediately upon posting. For material changes, we will post the updated Terms at least 30 days before the effective date. If you do not agree to the changes, you must stop using the Site before the effective date. Continued use after changes take effect constitutes acceptance.

21. Age and Legal Capacity

By using the Site or purchasing products, you confirm you are at least 18 years old (or have parental/guardian consent) and have legal capacity to enter into binding contracts.

22. Severability; No Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. A failure to enforce any provision does not constitute a waiver of that provision.
